Terms of Service

1. Acceptance of Terms

By accessing or using ByteWise technology consulting services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Technology Consulting Services

ByteWise provides the following technology consulting services:

• Custom Software Development: Tailored software solutions including web applications, mobile apps, and enterprise systems
• DevOps & Infrastructure Services: Cloud deployment, containerization, CI/CD pipelines, and infrastructure management
• Database Engineering: Database design, optimization, migration, and management services
• E-commerce Solutions: Online store development, payment integration, and digital marketplace solutions
• AI & Automation Services: Machine learning implementation, process automation, and intelligent system development
• Security & Reliability Consulting: Security audits, penetration testing, and system reliability assessments

3. Client Responsibilities

As a client of ByteWise services, you agree to:

• Provide accurate and complete information for your project requirements
• Respond promptly to communication and provide necessary feedback
• Make timely payments for services rendered
• Provide access to necessary systems and environments for project completion
• Respect intellectual property rights and confidentiality obligations
• Test delivered solutions and provide acceptance within agreed timeframes
• Maintain appropriate security measures for your systems and data

4. ByteWise Responsibilities

ByteWise agrees to:

• Provide services with professional care and technical expertise
• Deliver projects according to agreed specifications and timelines
• Maintain confidentiality of all client information and project details
• Provide regular progress updates and transparent communication
• Offer reasonable revisions and support within agreed scope
• Ensure compliance with Rwandan and applicable international regulations
• Maintain appropriate insurance and professional certifications

5. Payment Terms

Payment terms for our technology consulting services:

• Project-Based Pricing: Fixed price or milestone-based payments as agreed in project proposals
• Payment Methods: Bank transfer, mobile money, credit card, and other agreed electronic payment methods
• Payment Schedule: 50% deposit to begin work, 50% upon completion, unless otherwise agreed
• Late Payments: 1.5% per month interest on overdue balances
• Expense Reimbursement: Pre-approved expenses only, with proper documentation

6. Intellectual Property Rights

Intellectual property ownership and licensing:

• Client Ownership: You retain all rights to original materials and ideas provided to us
• Deliverable Ownership: You own all custom code and deliverables created specifically for your project
• Third-Party Materials: You warrant that all materials provided have necessary rights and permissions
• Open Source: We may use open-source components, with proper attribution and compliance with licenses
• Licensing: Custom licenses as specified in project agreements

7. Confidentiality

Confidentiality and data protection:

• Both parties agree to maintain confidentiality of all project information
• Information may be shared only with authorized personnel for project execution
• Confidentiality obligations survive project completion
• We implement appropriate technical and organizational measures to protect data
• Compliance with Rwandan data protection laws and regulations

8. Limitation of Liability

Limitation of liability and warranties:

• Service Warranty: Services provided "as-is" without warranties except as explicitly stated
• Consequential Damages: Not liable for indirect or consequential damages
• Liability Cap: Total liability limited to fees paid for services
• Force Majeure: Not liable for events beyond reasonable control
• Indemnification: Client agrees to indemnify ByteWise against certain claims

9. Term and Termination

Project duration and termination:

• Project Duration: As specified in individual project agreements
• Termination for Cause: Either party may terminate with written notice
• Termination Without Cause: 30-day written notice required
• Payment Upon Termination: Payment for all work completed up to termination date
• Return of Materials: All client materials must be returned upon termination
• Survival Clause: Confidentiality and payment obligations survive termination

10. Dispute Resolution

Resolution of disputes and governing law:

• Negotiation: Parties agree to negotiate in good faith to resolve disputes
• Mediation: Optional mediation available for complex disputes
• Governing Law: These terms governed by laws of Rwanda
• Jurisdiction: Courts of Kigali, Rwanda have exclusive jurisdiction
• Legal Fees: Prevailing party entitled to recover reasonable legal fees
